1. Who you are contracting with

These Terms & Conditions are between you and Positive Integers LTD ("we", "us" or "our"), the operator of Quill. By using Quill you agree to be bound by these terms.

2. Acceptable use

You must not misuse the service. Prohibited conduct includes unlawful use, fraud or spam, infringement of intellectual property rights, and any action that interferes with the security or availability of the service (including malware, probing, scraping or excessive automated access).

3. Intellectual property

Positive Integers LTD retains ownership of Quill, its software, documentation, branding and all related intellectual property. We grant you a limited, non-exclusive, non-transferable right to use the service within your selected plan.

4. Service level

We do not guarantee that the service will be uninterrupted or error-free. We aim to keep the service available and will make reasonable efforts to resolve issues promptly.

5. Payments, subscriptions and refunds

Quill is sold on agreed commercial terms and billed by invoice. Your subscription term, fees, currency, payment window and any add-ons are set out in the order form or written agreement between us.

Invoices are payable within the period stated on the invoice. Unless your agreement says otherwise, fees are non-refundable once a term has started, and subscriptions renew for a further term unless either side gives notice before the renewal date. 6. Account security and accuracy

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information and keep it updated.

7. Suspension and termination

We may suspend or terminate access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations.

8. Liability

To the fullest extent permitted by law, we disclaim all implied warranties. Our aggregate liability is limited to the fees you paid to us in the preceding 12 months. We are not liable for indirect, consequential or special damages, except where liability cannot be excluded by law.

9. Governing law

These terms are governed by the laws of England and Wales, and any dispute will be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Changes to these terms

We may update these terms from time to time. If we make material changes, we will notify you through the service or by email. Continued use of Quill after changes constitutes acceptance of the updated terms.
